Acceptance of Terms

By accessing or using this Website, you (“you”, “user”, “buyer”) agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the Website. We may update these Terms at any time by posting revisions on this page; continued use constitutes acceptance.

Scope
These Terms apply to information displayed on the Website and to offline purchasing processes initiated through quotations, emails, phone calls, or other direct channels with the Company. These Terms do not create any third-party rights.

Product Information, Images & Illustrations
a) Product images are illustrative and may differ from the actual product.
b) Specifications, availability, and prices may change without notice.
c) If a product description or price is incorrect, we may cancel the related order/quotation and refund any amounts received.

Government Tenders – Pricing Exclusion
Prices shown or communicated via the Website are NOT valid for Government tenders. Government tender terms (e.g., extended warranties, EMDs, security deposits, split/retained payments like 60/20/10, etc.) are not accepted by the Company. Standard terms require 100% advance or COD (as applicable). Website pricing must not be cited or attached to any Government tender.

Orders, Quotations & Cancellations
a) Orders are typically processed after acceptance of a formal quotation and receipt of payment as per the quotation.
b) Company Cancellation: We may cancel orders (in whole/part) for reasons including stock limits, specification/price errors, risk checks, or other operational reasons. Refunds (if any) will be processed to the original payer’s bank account per Clause 12.
c) Buyer Cancellation: Orders already processed/dispatched cannot be cancelled. Whether an order is “processed” is determined by the Company at its sole discretion.
d) Signature on Delivery: An adult signature at the delivery address constitutes valid proof of delivery.

Payment
Accepted modes are those communicated in our quotation/invoice (e.g., NEFT/IMPS/RTGS/COD where permitted). You are responsible for ensuring accurate remittance details.

Pricing & Availability
We strive to offer competitive prices based on bulk procurement and prevailing stock. We do not guarantee the lowest price. Availability and pricing are subject to change without notice.

Shipping & Delivery
a) Delivery timelines communicated are estimates only. Delays can occur due to logistics constraints, strikes, force majeure, or other events beyond our control. We are not liable for losses arising from delays.
b) We may ship in installments; each installment is treated as a separate contract. Failure to deliver one installment does not repudiate the entire order.
c) If you fail to take delivery, we may charge return/logistics/warehouse costs.

Returns, Replacements & Refunds
a) Non-Returnable Items: If an item is marked “Non-Returnable”, no return will be accepted once supplied.
b) Return Window: For return-eligible items, notify us within 48 hours of delivery at info@buyxavier.com, xaviermed9@gmail.com with order/invoice details, photos, and the issue.
c) Pickup/Return: Pickup/return logistics will be arranged at our discretion.
d) Return Conditions:

Accepted where: the item is received damaged; wrong item supplied; verified product complaint; sterile item received opened; short-supply (unless pre-agreed).

Items must be unused, unopened, and in original packaging to qualify for a full refund.

If packaging is opened but item unused and intact, we may issue a credit note or allow replacement (not a cash refund), subject to inspection.
e) High-Value Orders: For order values > ₹10,000, accepted claims will be addressed via replacement/exchange; cash refunds are not applicable except where mandated by law or at our sole discretion.
f) Dispatch Delays: If dispatch exceeds 30 days from confirmation and payment (unless otherwise agreed in writing), you may request cancellation and refund.

Warranties, Service & After-Sales
a) Manufacturer Responsibility: Product performance, clinical outcomes, and spare availability are the sole responsibility of the manufacturer/authorized dealer.
b) Refurbished Equipment: No warranty unless expressly stated in the quotation or product document.

a) The Website and its content are provided “as is” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, security, or accuracy.
b) We do not warrant uninterrupted or error-free operation or that defects will be corrected.
c) External Links: We are not responsible for content, availability, or services on third-party sites linked from our Website.

Limitation of Liability
To the maximum extent permitted by law, the Company, its affiliates, officers, employees, and agents are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages (including loss of profits, data, goodwill, or business interruption) arising from or related to use of the Website, delays, delivery issues, product performance, or any force-majeure events. Our total liability for any claim will not exceed the amount actually paid for the affected product(s).

Invoicing & Taxes
Invoices include applicable GST. Transportation/freight is charged as per distance/weight and shown on the invoice; GST on freight is additional where applicable.

Risk & Use
You use the Website and any downloaded materials at your sole risk. We are not responsible for any damage to equipment or data loss resulting from downloads or interactions.

Fraud & Security
We reserve the right to monitor for and act against suspected fraud. We may cancel orders, block buyers, or take legal action where necessary.

By contacting us (email/phone/letter/WhatsApp) or sharing your details for quotations/orders/service, you consent to receive transactional and service communications from us.

Offline Orders (Active)
Orders concluded via quotation/demonstration and paid via NEFT/IMPS/RTGS/Cash (subject to law) are treated as “offline sales,” not e-commerce. Cancellations/refunds for offline sales are governed by the quotation/Purchase Order and these Terms. Hyderabad courts have exclusive jurisdiction for all offline sales as well.

Modifications
We may modify Website content, policies, offers, and these Terms at any time. Material changes will be reflected here. Continued use signifies acceptance.

Force Majeure
We are not liable for delays or failures due to events beyond reasonable control, including strikes, lockouts, labor disputes, embargoes, government orders, pandemics, power failures, logistics disruptions, or natural calamities.

Governing Law & Jurisdiction
These Terms are governed by the laws of India. Courts in Hyderabad, Telangana, have exclusive jurisdiction over all disputes.

Severability & Survival
If any provision is held invalid or unenforceable, the remainder will continue in full force. Provisions intended to survive termination (e.g., IP, indemnity, limitations) will so survive.
